The number of shares to be offered and the price range for the offering have not yet been determined. Tradeweb intends to list its Class A common stock on the NASDAQ Global Select Market under the ticker symbol “TW.” Tradeweb intends to use the net proceeds from the offering to purchase equity interests from certain existing owners. Refinitiv will continue to own a controlling interest in Tradeweb following the offering. J.P. Morgan, Citigroup, Goldman Sachs & Co. LLC and Morgan Stanley are acting as the joint book-running managers for the offering. The proposed offering of these securities will be made only by means of a prospectus.
